Master Services Agreement
This agreement is between RJP Group Ltd (trading as Garage Page), registered in England and Wales, company no. 05937783, registered office 124 City Road, London EC1V 2NX ("Garage Page", "we") and the garage business that signs up ("you"). It covers the Garage Page service and should be read with Schedule 1 – Service and pricing and the Data Processing Addendum, which form part of it.
1. Definitions
- "Service" means Garage Page as described in Schedule 1: your garage's web page with the MOT check and online booking, the Garage Page app (diary, customers, reminders, settings), texts and emails sent as your garage, customer accounts and service history, and, on the Reception plan, the answering agent and web chat.
- "Plan" means the package you choose at sign-up, as described in Schedule 1.
- "Order" means your sign-up record: the Plan, the price, the business name for invoices, the person who accepted this agreement, and the date, time and version accepted. A separate written order form may be used for custom set-ups.
- "Go-live Date" means the date you press Go live in the app (or we switch you on at your request), when your page, diary and reminders start working for real.
- "Your Customers" means the drivers and other people who book with, contact or are contacted by your garage through the Service.
- "Customer Data" means personal data about Your Customers and your staff that we process for you through the Service.
- "Users" means the people you give a sign-in to the app.
2. The Service
2.1 We provide the Service on a monthly subscription under the Plan in your Order. The features in your Plan are set out in Schedule 1.
2.2 We improve the Service over time. We may change how features look or work, provided we don't materially reduce what your Plan includes without notice under section 21.
2.3 Extra work outside your Plan (for example a custom site rebuild, "we post for you" social media, or connecting to another system) is quoted separately and only done once you've agreed it.
3. Setting up and going live
3.1 After sign-up, you check and complete your details, services and prices, opening hours and bays, and your page, using the setup list in the app. We'll help, and replace the stand-in photos with yours.
3.2 You're responsible for the accuracy of what you enter or approve — prices, opening hours, services, staff and the wording on your page.
3.3 Your subscription is charged from sign-up. The 30-day guarantee (section 7) runs from your Go-live Date.
4. AI features
4.1 Parts of the Service use artificial intelligence: the answering agent and web chat (Reception plan), reading number plates from photos, checking uploaded documents, suggesting which service a car needs, and drafting descriptions or messages for you to approve.
4.2 AI output can be wrong, incomplete or misunderstood, and works on probabilities rather than fixed rules. You remain responsible for reviewing scripts, wording and settings, for checking anything that matters before you rely on it (for example a recommended service, a document check or a price), and for the advice and work your garage gives.
4.3 We don't promise that AI responses will be error-free or suitable for every conversation, and we're not liable for losses caused by AI output or automated routing where the Service was working as set up, except as section 18 allows.
4.4 We don't use Customer Data to train AI models.
5. Texts, emails and calls to your customers
5.1 Booking confirmations, quotes, "ready to collect" messages, reminders and offers are sent in your garage's name, and replies come to you.
5.2 You must have a lawful basis to contact each customer, including consent where the law requires it for marketing (such as quiet-week offers). The Service records consent where it collects it, includes an opt-out in every text and honours STOP replies automatically; you must not re-add people who have opted out.
5.3 Customer lists you upload must be your own customers, collected lawfully. We may pause or limit sending that looks unlawful, harmful to deliverability, or far outside normal use for a garage, and we'll tell you why.
5.4 Message and call usage is included within the fair-use limits and allowances in Schedule 1.
6. Fees and payment
6.1 Fees are as set out in Schedule 1 and your Order, payable monthly in advance by card through our payment provider, Stripe, from the date you sign up. All fees are exclusive of VAT, which is added at the prevailing rate. We send a VAT invoice for each payment.
6.2 Usage charges (such as call minutes over a Reception allowance) are charged in arrears with the next monthly payment.
6.3 If a payment fails, our payment provider will retry and we'll let you know. If it's still unpaid 14 days after we've told you, we may suspend the Service until it's paid.
6.4 We can change our prices by giving you at least 30 days' written notice. The new price applies from your first payment after the notice period ends, and you can cancel before then.
7. The 30-day guarantee
7.1 If you're not happy with Garage Page within 30 days of your Go-live Date — not enough bookings, not enough customers coming back, or you just don't like it — tell us by email or phone within that period and we'll refund every penny you've paid us under this agreement, and end it.
7.2 No forms and no argument. The refund goes back to the card you paid with, normally within 10 working days. Section 9 then applies.
7.3 The guarantee applies once per garage business.
8. Term and cancelling
8.1 This agreement starts when you accept it and continues month to month. There is no minimum term and no notice period, unless a separate written Order says otherwise.
8.2 You can cancel at any time from Settings → Billing in the app, or by telling us in writing. The Service continues until the end of the month you've paid for and isn't renewed after that.
8.3 We can end this agreement by giving you at least 30 days' written notice.
8.4 We can suspend or end the Service straight away, with written notice, if you materially breach this agreement and don't put it right within 14 days of being asked (or straight away if it can't be put right); if fees remain unpaid under section 6.3; if the Service is used unlawfully or to send unwanted messages; or if continuing would expose us to legal, regulatory or security risk. Where we can, we'll talk to you first.
9. When the agreement ends
9.1 You can download your data at any time from Settings → Customers & data, including after cancelling until your access ends. Your sign-ins keep working for that purpose for 30 days after the end date.
9.2 Your page stops taking bookings and your reminders stop. If your page is on your own domain, we'll point the domain wherever you ask, or help you do it.
9.3 We delete Customer Data 90 days after the agreement ends, as set out in the Data Processing Addendum, except where the law requires us to keep something longer. Records of our own dealings with you (such as invoices) are kept as the law requires.
9.4 Customers who have their own Garage Page account (for example because they use another Garage Page garage) keep it; your garage's records are removed from it.
10. Your domain, page and content
10.1 Your domain stays registered in your name, whoever arranges it. You give us the access needed to point it at your page while this agreement runs.
10.2 Your logo, photos, prices, wording and other content stay yours. You give us a licence to use them to provide the Service, and to show your page as an example of our work only with your permission.
10.3 You confirm you have the right to everything you upload, and that it isn't unlawful or misleading.
10.4 Google reviews, maps and business details are shown under Google's terms. We may need to change or remove them if those terms change.
11. Third-party services and data
11.1 The Service relies on third parties, including hosting, texting and calling, email, payments and AI providers (listed in the Data Processing Addendum), and on data sources such as the DVSA MOT history service and vehicle data providers.
11.2 MOT history, vehicle details and tyre data come from those sources. We show them as provided and can't guarantee they are complete or correct; your own inspection of the vehicle always takes priority.
11.3 We're not responsible for outages, changes or price rises by third parties outside our control, but we'll do what we reasonably can to keep the Service working and tell you if something important changes.
12. Availability
12.1 We aim to keep the Service available at all times and fix problems quickly, but we don't promise uninterrupted or error-free operation. Planned maintenance will be outside normal garage hours where we can.
12.2 The Service isn't meant to be your only way of taking bookings or talking to customers. Keep your phone and email working as usual.
13. Your responsibilities
- Use the Service lawfully, and only for your own garage business.
- Keep sign-ins to the people they belong to, use two-step sign-in (which the app requires), remove people who leave, and tell us straight away if you think an account has been misused.
- Get the consents and give the information the law requires to Your Customers, including mentioning in your own privacy notice that you use Garage Page.
- Remain responsible for your prices, quotes, MOT testing, repairs and the advice you give; Garage Page is a tool and doesn't carry out or check work on vehicles.
- Check courtesy-car documents and driving entitlement as your own insurance and the law require; the document checks in the Service help but don't replace them.
- Don't try to break, copy, resell or overload the Service, or use it to send spam.
14. Data protection
14.1 For Customer Data, you are the controller and we are your processor. Our obligations are set out in the Data Processing Addendum.
14.2 We are controller for a small amount of data we need to run our own business: your garage's account and billing details, the visitors to garagepage.co.uk, and the Garage Page accounts drivers can use across more than one garage. Our privacy notice covers that.
14.3 Each of us will comply with UK data protection law (the UK GDPR and the Data Protection Act 2018) and the Privacy and Electronic Communications Regulations.
15. Intellectual property
15.1 We own the Service, the app, our templates, designs, software and everything we create to provide it, other than your content.
15.2 You own your content and Customer Data. We can use anonymised, aggregated information (which doesn't identify you or any person) to run and improve the Service and to publish general statistics, for example on MOT results or tyres.
16. Confidentiality
16.1 Each of us will keep the other's non-public business, technical and commercial information confidential and use it only for this agreement, unless it's already public or the law requires disclosure. This continues after the agreement ends.
17. Warranties
17.1 We'll provide the Service with reasonable skill and care. Except as this agreement expressly says, the Service is provided "as is" and "as available", and we exclude all other warranties, conditions and terms to the extent the law allows.
18. Limitation of liability
18.1 Garage Page helps you win and keep customers, but we don't guarantee any level of bookings, revenue or results (the 30-day guarantee in section 7 is your remedy if it isn't working for you).
18.2 Our total liability to you under or in connection with this agreement in any 12-month period is limited to the fees you paid us in the 12 months before the event giving rise to the claim.
18.3 Neither of us is liable to the other for indirect or consequential loss, or for loss of profit, revenue, goodwill or data (other than our obligations to keep Customer Data secure under the Data Processing Addendum).
18.4 Nothing in this agreement limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't be limited by law.
19. Force majeure
19.1 Neither of us is liable for failure or delay caused by events beyond reasonable control, such as network or power failures, cyber attacks, provider outages, government action, or natural events. The affected party will tell the other and do what it reasonably can to limit the effect.
20. Assignment and subcontracting
20.1 We may transfer this agreement to a company in our group, a successor, or a buyer of all or most of the Garage Page business, by telling you in writing. You may transfer it only with our written consent (which we won't unreasonably refuse if you sell your garage).
20.2 We may use subcontractors and suppliers to provide the Service, and we remain responsible for them under this agreement.
21. Changes to this agreement
21.1 We may update this agreement, Schedule 1 or the Data Processing Addendum by giving you at least 30 days' notice by email or in the app. If you don't agree, you can cancel before the change takes effect. If you carry on using the Service after that, the updated version applies.
21.2 Changes needed to comply with the law, or that don't disadvantage you, can take effect sooner.
22. General
22.1 Entire agreement. This agreement, Schedule 1, the Data Processing Addendum and your Order are the whole agreement between us about the Service and replace anything said or written before.
22.2 Notices. Notices can be sent by email: to you at the email address on your account, and to us at hello@garagepage.co.uk. An email is treated as received on the next business day.
22.3 Survival. Sections that by their nature should continue after the end (including 9, 15, 16, 18 and 22) do.
22.4 Third parties. Nobody other than you and us has rights under this agreement.
22.5 Law. This agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
23. Digital acceptance
23.1 This agreement, Schedule 1 and the Data Processing Addendum in force at the time become binding when someone with authority to act for your garage accepts them at sign-up (or signs a written Order). You confirm the person accepting has that authority.
23.2 We keep a record of each acceptance: the name and email of the person, the garage, the date and time, a fingerprint of the network address used, and the version accepted. You can see it in Settings → Billing.
Also part of the agreement: Schedule 1 – Service and pricing · Data Processing Addendum.
